How about
+10 attack speed(since it's a knife)
+20% weapon switch

-10 damage
-no critical hits

I'd say with a 5 second bleed as well, which takes off 3 damage each second, because of the serrated edge.

Just a question, This is a knife, Ye? So a shovel would do more damage then a knife? Wake up :&.
This is my idea: +15% attack speed.
+10% weapon switch.
+25% damage.
No random critical hits.
-10% bullet vurnerbility.
Target bleeds over time.
-50% Range (It's alot shorter than a shovel)

Well shovels have a longer reach, making it easier to get more force on the end, making it more like a hammer: it does bludgeon damage, meaning damage over an area. Knives are pointy, and do most of their damage from destroying select portions of flesh, not over an area. When it comes to hitpoints, there is roughly no difference.
I also have no idea what I am talking about and am making stuff up. Hope I'm right :/
Hey, stats:
Bleed for x seconds (which should bring it up over base shovel damage)
+10 weakness to explosives (could be good or bad, as it lets on R-jump higher, but costs more health, and demos and other soldiers are more deadly now)

Prolly should have shorter range, but not a lot shorter; it would make it too hard to use if it is too short. Maybe -15% reach? Eh, Don't care.

On kill: turns victim to ice
10% attack speed
20% extra damage
On hit: target bleeds for 4 seconds
no random crit
30% less melee range
10% vulnerability to fire.

Ok the stats you given were to underpowerd so i will give these stats:

~Good things~
Alt fire knife can be thrown at a long range
Does extra damage to far away targets on hit
+20% damage bonus
On hit taget bleeds for 10 sec
~Bad things~
If knife is thrown, takes 10 sec to recharge
No random critical hits
Honorbound, cannot change weapons until this knife kills

Anyone else agree with these stats?
nah it would be too overpowered to throw the knife that has a big damage bonus and causes a 10 second bleed and does even more damage when thrown and also the recharge does not matter since the soldier has powerful primary and secondary to fend off enemies while the knife recharges and the honorbound status can be bad but the throwing ability of this knife can make it easy to score a kill with it.
throwing a knife is cool and all but it would make it too easy.

if u have Honorbound, what apends after u throw it?
it will recharge but you cant use anything else but it
