Stats?
Hm, maybe something like the following:

On uber: Overheals the target by twice the normal amount and adds immunity to all crit/minicrit damage
+15% ubercharge duration
+25% damage resistance (only affects Healer when not ubered, but also affects the heal target during the uber)
-10% movement speed
Cannot overheal unless ubered

+10 uber rate
- 10 speed
- 14% all damage to front
+ 5 or 7 damage to back
takes slow speed stat of the class you're healing
or
+ 15 uber rate
+ medic charge but -50 uber (like demo charge but pushes back)
only uber's the front but not the back but more damage to back when uber
( mabe no instant kills from spys?)

when charge meter is full: instantly charges selected targets
+80% damage resistance when uber is active
+10% damage resistance when uber is not active
when uber is active: you can switch between friendlys and uber will not decrease
when uber is not on target: uber is not active
cannot gain uber from ubersaw
+20% extra headshot damage on wearer

tak any negative speed from heal target
the higher the uber the the higher the damage ressist for a maximum of 50%
auto uses uber
uber only effects wearer
mini crits taken to back or top

+On active: 25% bullet damage resistance at the front
+Ubershield: Deloys a massive hologram shield in front of the wearer and the patient that absorb 75% damage of all type. Immune to stun and damage force.
-15% slower movement speed on active
-10% slower Ubercharge rate

I usually get killed from behind as Medic anyways, but for Medics with better luck, this item would be PERFECT for final pushes on Payload or Control Points. Here's my take:

+Damage from front is Reduced by 10% every 20% of Uber charged (Max 50% un-ubered)
+When Ubered, 90% less damage is taken for both players
+When Ubered, Knockback from Airblast, Explosives and Bullets Reduced by 50%
-40% Slower movement speed for both players
-40% more damage from fire
-+60% More Damage from behind for both players (As ubercharge increases, this is reduced in 20% intervals until damge from behind is reduced to 20%

idea make it a straight upgrade to the regluer medi gun same thing bullet proof uda uda but it has 25.bullet res 10 explosive but has 1 con 25 weak to fire

Ok now that I look back at my stats, it's a good idea, but way too complicated for TF2. Your stats are actually really good, but the stats are way too punishing to the Medic, especially since the item has a shield for the Medic. How about this;

Medic takes 20% less damage from all ranged sources
Medic takes 20% more damage from melee

Everything else from yours, keep it. :)
This seems like something a battle medic would have. With that the case,

+15 health on wearer

+25% max overheal, overheal build rate, and overheal duration
While healing, provides your target with +1 capture rate.

-15% heal rate

Ubercharge provides you and your target +40% damage resistance of all types

Pros:
25% bullet resistance from the front
+15 health on wearer
+25% Ubercharge rate

Cons:
-15% heal rate

Uber: The front is Übered, the back, not so much
Almost identical to normal Über except for an unprotected back
Any Bullet damage from the front will harm the shooter by 60% of the damage dealt
Any Projectiles from the front are reflected
Other types of damage from the front (such as melee, afterburn and debuffs) will simply not be taken
The Back (100 degrees) is vulnerable: takes normal damage

Excells on defense and pushing on offense, especially with extra teammates on your back
Terrible against Spies (or back related weapons), against Ambushes, while Alone or to Escape
